Annette co-heads Christopher & Lee Ong’s Capital Markets practice group. With over 15 years of experience, Annette has built her expertise in advising clients from a wide range of industries on equity capital markets and takeovers, corporate and private acquisitions and disposals, mergers and demergers, and corporate joint ventures.  

Annette has advised on many notable initial public offerings and corporate exercises over the years. She was also involved in the drafting of the Malaysia Equity Capital Markets Due Diligence Guide. Annette is a member of the Bar Council Corporate and Commercial Law Committee (CCLC) and she heads the Securities Commission Sub-Committee of the CCLC.

• Advised and represented Pelangi Publishing Group Bhd on its privatisation via capital repayment of shares.
• Advised on the first demerger exercise of a company listed on the Main Market of Malaysia from a company listed on the London Stock Exchange.
• Advised on the selective capital reduction of a steel manufacturer listed on the Main Market by way of a special resolution pursuant to Section 116 Companies Act 2016.
• Advised on the transfer listing of one of the world's leading automation solution providers from the ACE Market to the Main Market of Bursa Malaysia Securities Berhad.
• Advised on the transfer listing of a Malaysia-based cables and wires manufacturer to the Main Market of Bursa Malaysia Securities Berhad.
• Advised a publicly listed corporation in relation to rights issue, warrants, employee share option scheme, bonus issue, offer for sale, and underwriting arrangements.

Initial Public Offerings

• Advised and represented Kitacon Sdn Bhd, which operates in the heavy and civil engineering construction sector, on its proposed listing on the main market of bursa Malaysia Securities Berhad.
• Acted as Solicitors to the Principal Adviser, Sponsor, Underwriter and Placement Agent for the listing of Haily Group Berhad, an investment holding company in the construction sector, on its successful listing on the ACE Market in 2021.
• Advised and represented Southern Cable Group Berhad, a Malaysia-based cables and wires manufacturer and related products and services, in its successful listing on the ACE Market in 2020.
• Advised and represented Greatech Technology Berhad, one of the world's leading automation solution providers on its successful listing in the ACE Market of Bursa Malaysia Securities Berhad.
• Advised and acted for Cosmos Technology International Berhad, an integrated water technology solutions provider principally involved in the distribution and instrumentation services of fluid control products and manufacturing of fabricated metal products for industrial applications used in the water, wastewater and oil and/or gas industries on its successful listing on the LEAP Market in 2020.
• Advised and acted for Steel Hawk Engineering Berhad, a Malaysia-based international service provider to the Oil & Gas industry, in its successful listing on the LEAP Market in 2021.
• Acted for and represented Advancecon Holding Berhad, a construction company in civil engineering in its successful listing on the Main Market in 2017.
• Acted for and represented Kim Teck Cheong Consolidated Berhad, a first-tier provider of market access and coverage in the distribution of Consumer Package Goods in East Malaysia in its successful listing on the ACE Market in 2016.
• Acted for and represented Solid Automotive Berhad, a distributor of automotive spare parts and components, in its successful listing on the Main Market in 2013.
• Acted for and represented Titijaya Land Berhad, a property developer in Malaysia, in its successful listing on the Main Market in 2013.
• Acted for and advised Datasonic Berhad, one of the largest security-based ICT solution providers on its successful listing on the Main Market in 2012.
• Acted for and advised Gabungan AQRS Berhad, a construction & engineering service provider and niche lifestyle property developer on its successful listing on the Main Market in 2012.
• Acted for and represented Turbo Mech Berhad, a regional distributor of rotating equipment for the oil, gas and petrochemical industry, with over 20 years of experience in its successful listing on the Main Market in 2010.
• Supervised and carried out transaction and compliance due diligence, via on-site inspections and through virtual data rooms in conducting legal due diligence on companies in property development and construction sectors; manufacturing; oil and gas; automotive; information and technology solutions service provider specialising in cybersecurity and networking solutions, renewable energy, for the submissions of applications to the Securities Commission Malaysia and Bursa Malaysia Securities Berhad for listing on the Main Market and ACE Market, as well as for transactions relating to proposed acquisitions.

Mergers & Takeovers

• Advised and represented the joint offerors in the takeover of MBf Holdings Berhad.
• Advised on compulsory acquisition of shares and privatisation of MBf Holdings Berhad.
• Advised and represented IJM Land Berhad in the takeover by IJM Corporation Berhad and privatisation of IJM Land.
• Advised and represented the offeror for the takeover of Oriental Interest Berhad.
• Advised on the unconditional takeover offer of an automotive battery manufacturer.

M&A, Corporate Commercial

• Advised and acted for a Malaysian company in the disposal of shares to a global manufacturer and distributor of industrial fastenings, which was a UK company listed on the London Stock Exchange.
• Advised on the disposal and acquisition of shares in a publicly listed company and a private company.
• Advised a publicly listed company in relation to acquisitions of foreign subsidiaries.
• Advised and acted for a real estate investment trust (REIT) in the purchase of factories, office buildings and warehouses.
• Acted against a REIT on a sale and leaseback transaction on factories.
• Advised and assisted a broad range of institutional clientele on drafting and preparation of share sale agreements, share subscription agreements, sale of assets and/or businesses, distribution agreements, by-laws and trust deeds.
