Jack specialises in project development and financing. Jack has significant experience advising on the development and financing of infrastructure projects. He has a keen interest in the energy sector and has advised on an extensive range of renewable energy matters. Jack also has broad experience advising lenders and borrowers on a variety of financing transactions, including acquisition financing, project financing, trade financing, alternative financing, derivatives and bonds/Sukuk issuances. He has also advised on mergers & acquisitions involving project assets.

This allows him to offer clients a one-stop point providing end-to-end advice across the entire project development and financing risk spectrum (from development to operating) and lifecycle (from opportunity to exit).

Experience
Construction & Projects and Energy & Natural Resources
  • Advised the sponsor and project company on the development of and financing for a 78MW nearshore wind power project in Vietnam.
  • Advised and continue to advise the respective investors, sponsors, developers and contractors on the development of numerous large scale solar (LSS) power plants in Malaysia.
  • Advised and continue to advise the respective investors, sponsors and developers on the participation in and development of rooftop solar projects under the net energy metering (NEM) regime and self-consumption (Selco) scheme, and advised on the structuring and drafting of power purchase agreements.
  • Advised the sponsor and project company on the development of a 2x600MW coal fired power project in Vietnam.
  • Advised a paper and packaging manufacturer on the development of a paper machine, a waste water treatment plant, a raw water treatment plant, a demineralisation water treatment plant and a cogeneration power plant.
  • Advised and continue to advise the respective investors, sponsors and developers on the participation in and development of a variety of renewable energy projects under the feed-in tariff (FiT) programme, including advising SunEdison on the development and financing of a 19MW solar facility at the Kuala Lumpur International Airport, which at that time was the largest solar installation at any airport in the world, and the inclusion of those solar assets in its yieldco vehicle, TerraForm Global, Inc., for the latter’s IPO on the NASDAQ.
  • Advised on the development of a biogas power plant and the management and treatment of animal waste generated for the purposes of fuelling the plant.
  • Advised a renewable energy developer on the development of a power generation system (thermal oil heater and organic rankine cycle turbine and generator) on a build-own-operate-transfer basis.
  • Advised on the development of a biogas capturing plant on a build-own-operate-transfer basis.
Banking & Finance
  • Acted as local counsel to a syndicate of lenders on facilities for the acquisition by a leading renewable power producer of a leading hydropower developer.
  • Advised the sponsor and project company on facilities to finance the development of a 78MW nearshore wind power project in Vietnam.
  • Acted as local counsel to the lenders in respect of an approximately USD10.4 billion project financing facility granted by over 20 financial institutions to finance the development of a petrochemical and refinery project in Malaysia which, when completed, will be the largest downstream petrochemical project in Asia.
  • Advised the borrower on an acquisition financing facility for the acquisition of a group of entities holding a portfolio of seventeen (17) hospitals in Southeast Asia.
  • Advised and continue to advise the respective sponsors, developers and project companies on the financing to fund the development of large scale solar power plants in Malaysia, by way of issuance of bonds/Sukuk, project financing, term loan, equity/internal financing and/or alternative financing, all of which have achieved financial close.
  • Advised the sponsor and project company on a project financing facility to finance the development of a 2x600MW coal fired power project in Vietnam.
  • Advised a venture capital outfit on a suite of financing documents for its investment in and provision of financing to its investees.
  • Advised as local counsel on the financing to fund the development of a combined-cycle power plant in Malaysia.
  • Acted as local counsel on a multicurrency facility to finance the development of glass production lines in Malaysia.
  • Acted as local counsel to a project company operating in the Malaysia-Thailand Joint Development Area, on a project financing facility to finance the development of a gas transmission pipeline system.
  • Advised the sponsor and project companies on syndicated loans to finance the development of several higher education institutions.
  • Acted as local counsel on a project financing facility to fund the development of an oil storage terminal, and advised on the post financing restructuring, expansion of the project, up to the repayment of the facility.
  • Advised the borrower on the financing to fund the purchase of land and development of an integrated development consisting residential, retail and commercial amenities on it.
  • Advised the lender on the provision of a facility to a shareholder to fund the subscription of equity in a project company, proceeds of the subscription which will be applied towards funding the additional development cost of an expressway.
  • Acted for a subsidiary of Malaysia's sovereign wealth fund on the provision of a facility to finance the production of a theatrical motion picture.
  • Advised a subsidiary of the largest financial services group in the Nordic region and one of the biggest banks in Europe with regards to a novation exercise in connection with the merger between two financial institutions conducted under the European Union’s Directive 2005/56/EC on cross-border mergers of limited liability companies.
  • Advised the sponsor and project companies on a project financing facility to fund the development of solar power plants with an aggregate capacity of 19MW, and advised on the loan restructuring up to repayment of the facility.
  • Advised a Malaysian company in the healthcare sector on a multicurrency syndicated revolving facility to fund its acquisitions, investments and expansion.
  • Advised a foreign financial institution and a foreign distressed and special opportunities fund in the provision of facilities to a group of companies involved in the steel industry in Malaysia, up to the repayment and discharge of the facilities.
Mergers & Acquisitions
  • Supported on the sale of two large scale solar farms in Malaysia, believed to be the first sale involving large scale solar assets in Malaysia.
  • Advised Sun Energy Ventures Sdn. Bhd. on the disposal of its entire equity interest in project companies operating solar power plants with an aggregate capacity of 19MW under the feed-in tariff programme.
  • Advised Gradiant, an international end-to-end water solutions provider, on its acquisition of Sigma Water Engineering (M) Sdn. Bhd., an industrial water and waste water treatment company.
  • Advised the purchaser on the acquisition of a Malaysian tobacco manufacturer.
  • Advised global paints and coating company AkzoNobel in its acquisition of the Malaysian paints and coatings manufacturer Colourland Paints Sdn. Bhd.
  • Advised on the disposal of the entire equity interest in project companies operating solar power plants with an aggregate capacity of 5.3MW under the feed-in tariff programme.
  • Advised London-listed Aseana Properties Ltd on the disposal of Aloft Kuala Lumpur Sentral Hotel.
  • Advised on the disposal of the entire equity interest in TF Value-Mart Sdn. Bhd., operator of a hypermarket chain in Malaysia, to KV Asia Capital, a private equity firm.
  • Advised on the disposal of the entire equity interest in an air freight operator.
  • Advised a property development company listed on the London Stock Exchange on its proposals to facilitate the return of cash to its shareholders.
